Terms of Service

Agreement
These Terms of Service (“Terms”) govern your access to and use of the MISE platform operated by MISE, based in Sydney, New South Wales, Australia (“we”, “our”, “us”). By creating an account or using the service, you agree to be bound by these Terms.
If you are using MISE on behalf of a business, you represent that you have authority to bind that business to these Terms, and “you” refers to that business.
The service
MISE is an operational preparation platform for hospitality venues. It provides tools for staffing planning, procurement coordination, demand forecasting, and service readiness management. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice to active subscribers.
Accounts
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate information when creating your account.
- You may not share account credentials or allow unauthorised access.
- You are responsible for all activity occurring under your account.
- You must notify us immediately of any unauthorised account access.
Subscriptions and billing
Paid subscriptions are billed on a recurring monthly or annual basis depending on the plan selected. Billing occurs at the start of each billing period. All prices are displayed in Australian dollars (AUD) and are exclusive of Goods and Services Tax (GST) unless stated otherwise. GST of 10% applies to subscriptions purchased by Australian customers and will be itemised on your invoice.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, after which access to paid features will cease. We reserve the right to modify pricing with 30 days’ written notice.
If a payment fails, we will attempt to notify you by email and may suspend access until payment is resolved.
Acceptable use
You agree not to use MISE to:
- Violate any applicable law or regulation, including Australian law
- Transmit malicious code or interfere with the service
- Attempt to gain unauthorised access to any system or account
- Resell, sublicense, or redistribute the service without authorisation
- Use the service in a manner that places unreasonable load on infrastructure
- Store or process data that violates the rights of any third party
Your data
You retain ownership of all operational data you input into MISE. By using the service, you grant us a limited licence to store and process that data solely to provide the service to you.
We do not sell, share, or use your operational data for any purpose other than delivering the MISE platform. See our Privacy Policy for full details, including how we handle personal information under the Privacy Act 1988 (Cth).
Intellectual property
The MISE platform, including its software, design, and documentation, is owned by MISE and protected by Australian and international intellectual property law. These Terms do not grant you any right to use our trademarks, logos, or brand elements. Feedback or suggestions you provide may be incorporated into the product without obligation to you.
Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited. If the Australian Consumer Law applies to a supply under these Terms, our liability for a failure to comply with a guarantee that cannot be excluded is limited, to the extent permitted by law, to resupply of the service or payment of the cost of resupply.
For major failures, you may be entitled to a refund and compensation for other reasonably foreseeable loss or damage.
Limitation of liability
Subject to the Australian Consumer Law and to the extent permitted by law, MISE is not liable for any indirect, incidental, special, or consequential loss or damage arising from your use of the service, including loss of profits, revenue, data, or goodwill, even if we have been advised of the possibility of such loss.
To the extent liability cannot be excluded, our total liability to you for any claim arising out of or in connection with these Terms or the service shall not exceed the total amount paid by you in the 12 months immediately preceding the event giving rise to the claim.
Termination
You may terminate your account at any time from your account settings or by contacting support. We may suspend or terminate your account if you materially breach these Terms, with or without notice depending on severity.
Upon termination, your right to access the service ceases. Your data will be retained for 90 days and then permanently deleted in accordance with our Privacy Policy.
Governing law
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts competent to hear appeals from those courts.
Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by email to active account holders at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
